Terms of Service
These Terms of Service ("Terms") govern your access to and use of WebAPIAlerts.
1. Acceptance of terms
By creating an account, accessing, or using WebAPIAlerts, you agree to these Terms and our Privacy Policy. If you are using the service on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the service.
3. Account registration and security
You are responsible for your account credentials and all activity occurring under your account. Notify us immediately of any unauthorized use. You must keep your information accurate and up to date.
4. Customer content and data
"Customer Data" means information you submit to or collect through the service (e.g., endpoints, probe configurations, incident notes). You retain ownership of Customer Data. You grant us a worldwide, non-exclusive license to host, process, and display Customer Data solely to provide and improve the service.
5. Service access and availability
We aim for high availability but do not guarantee the service will be uninterrupted or error-free. Maintenance windows and updates may affect availability.
6. Acceptable use
You will not misuse the service, including by: (a) probing or scanning others without authorization; (b) violating rate limits or imposing unreasonable load; (c) attempting to access non-public areas; (d) reverse engineering, decompiling, or circumventing security; or (e) using the service to store or transmit malicious code.
7. Third-party services
Integrations (e.g., Slack, webhooks) are provided by third parties and subject to their terms. We are not responsible for third‑party services.
8. Beta features
We may offer previews or beta features that are provided "as is" and may be modified or discontinued at any time.
9. Fees, taxes, billing, and Stripe
Paid plans are billed in advance on a recurring basis (e.g., weekly, monthly, or quarterly, depending on the plan you choose). Subscriptions auto‑renew at the end of each billing cycle unless you cancel as described below.
Payments are processed by our third‑party payment processor, Stripe, Inc. ("Stripe"). By subscribing, you authorize us to share necessary billing information with Stripe and you agree to be bound by the Stripe Services Agreement and any applicable Stripe terms. We do not store your full card details; Stripe stores and secures payment information on our behalf.
- Authorization: You authorize recurring charges to your payment method for the then‑current subscription price, taxes, and any applicable fees.
- Taxes: Prices exclude taxes unless stated. You are responsible for applicable taxes, duties, and government charges.
- Payment failures: If a charge fails, we (via Stripe) may attempt automatic retries. We may suspend or limit service until payment is successful.
- Chargebacks/disputes: If you dispute a charge, contact us first so we can help resolve it quickly. Unresolved disputes may result in suspension until the matter is settled.
- SCA/3‑D Secure: You may be required to complete additional authentication (e.g., 3‑D Secure) to approve a payment.
- Free trials & promos: If a trial or promotional period applies, you will be charged at the end of the trial unless you cancel before it ends. Trial eligibility and length may vary.
- Fee changes: We may change plan pricing or fees. Any changes will apply beginning with your next billing cycle after advance notice. Continued use after the effective date constitutes acceptance.
10. Plan changes and cancellations
You may upgrade, downgrade, or cancel your subscription at any time.
- How to cancel: Cancel directly from your billing/settings page in the product, or contact us and we will cancel for you.
- Discord chat: Cancellation is easy via our Discord chat—send a message to our support team in Discord (invite link available in the app or on our site) and we will process it promptly.
- Effective date: Cancellations take effect at the end of the current billing period, unless we confirm an earlier effective date.
- Proration: Plan upgrades may prorate immediately; downgrades generally apply at the next renewal unless otherwise stated.
- Refunds: Fees are non‑refundable except as required by law or as described in our Return & Refund Policy.
Upon cancellation or expiration, service access may be reduced or disabled, and data handling will follow our Privacy Policy. You can always reach us at tkc@webapialerts.com for help.
25. Electronic communications
You consent to receive communications from us electronically, including emails, in‑app messages, and notices posted within the service or on our website. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
11. Suspension and termination by us
We may suspend or terminate your access for actual or suspected violations of these Terms, non-payment, or risk to the service or other users. We will attempt to provide notice when reasonable.
12. Data retention and deletion
We retain Customer Data for the duration necessary to operate the service and as described in our Privacy Policy. Following termination, we may delete or anonymize Customer Data after a reasonable period unless legally required to retain it.
13. Intellectual property
We and our licensors own all rights in the service and related materials, excluding Customer Data. No rights are granted except as expressly stated.
14. Feedback
If you provide suggestions or feedback, you grant us a royalty-free, worldwide, transferable license to use and incorporate it without restriction.
15. Confidentiality
Each party may access the other’s confidential information. The receiving party will protect it with reasonable care and use it only for the purposes of these Terms.
16. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
17. Indemnification
You will indemnify and hold us harmless against claims arising from your use of the service or violation of these Terms, including reasonable attorneys’ fees.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
19. Force majeure
Neither party is liable for delays or failures due to events beyond reasonable control, including internet failures, outages, natural disasters, or governmental actions.
20. Export and compliance
You must comply with applicable export, sanctions, and anti-corruption laws in connection with your use of the service.
21. Governing law; venue
These Terms are governed by the laws of your primary place of business or residence unless otherwise required by applicable law. Venue will be in the competent courts of that jurisdiction.
22. Dispute resolution
Before filing a formal claim, the parties will attempt in good faith to resolve the dispute. If unresolved after thirty (30) days, either party may pursue permitted remedies.
23. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with an updated effective date. Your continued use constitutes acceptance.
